The Opportunity: We are looking for a 2-4 PQE UK qualified lawyer to join our Corporate team. In this position, you will assist our growing number of clients with a varied range of corporate work as we have clients that span the lifecycle of a business - from company incorporations to exits. Ideally, we are also looking for a lawyer who is also willing to be flexible and to assist our other practice areas from time to time, including commercial contracts, IP and employment. This is an opportunity to practice law differently - without the inflexibility, micromanagement and face time of traditional law firms - whilst continuing to work on challenging matters with interesting clients. How You'll Help Clients:
- Assisting with M&A transactions, including business sales and share sales, and drafting and negotiating share/business sale agreements and ancillary documents.
- Providing business structuring advice and assisting with company incorporations.
- Drafting shareholders agreements and articles of association to protect the interests of founders and investors.
- Advising in relation to the different employee share schemes available to a company, and drafting employee share scheme documents, including EMI option plan agreements.
- Working on general corporate structuring matters, including share splits and share conversions.
- Assisting with capital raises on both the company and investor side, including negotiating subscription and shareholders agreements.
The Ideal Candidate Qualified: A UK qualified mid-level lawyer (2-4 PQE) with demonstrated experience in assisting commercial clients in a variety of corporate advisory and transactional matters.
